Revarew Terms & Conditions

Revarew is the global hotel rewards programme (“Revarew” or the “Programme”) as it may be provided from time to time to Programme members (“Members”, “you” or “your”) by Grange Hotels (GH), its affiliates, subsidiaries and related companies (“GH”, “we”, “us” or “our”).  Revarew offers its members the opportunity to earn and redeem Points® at Participating Properties and redeeming Points with Partners. These terms and conditions (the “Programme Terms”) govern your membership and participation in Revarew and it is your responsibility to read and understand all of them. GH may at any time, in its sole discretion and without notice or liability, terminate, amend, modify or supplement Revarew, Programme benefits, or the Programme Terms. By becoming and remaining a member of Revarew, and receiving and redeeming Points, you agree that you have read, understood and accepted these Programme Terms as amended from time to time. Membership and Programme Benefits are offered at the sole discretion of GH, its affiliates, subsidiaries and related companies.

 
1. Revarew DEFINITIONS
a. “Award Night” means a night at a Participating Property paid for by redeeming Points. Award Nights are subject to these Program Terms and the terms and conditions of the Participating Property.
b. “Award Stay” means any stay at a Participating Property that includes one or more Award Nights.
c. “Eligible Food and Beverages” means certain food and beverages charged to your room or paid for during an Eligible Stay.
d. “Eligible Spa” means certain spa treatments charged to your room or paid during an Eligible Stay.
e. “Eligible Night” means a night at a Participating Property that is booked at an Eligible Rate.
f. “Eligible Rate” means a rate identified in GH reservation system or Participating Property reservations systems as eligible for Points. An Eligible Rate does not include, without limitation, the following: Award Nights, employee rates; friends and family rates; airline crew rates; travel agency employee/bookers rates; certain promotional and package rates as stated; rates paid using a free night voucher and other complimentary or barter rooms; rates booked through Online Travel Agencies (OTAs), whether such rates are direct, auction or bid rates, group reservations and tour operator reservations; and certain other rates booked through third parties.
g. “Eligible Stay” means one or more consecutive Eligible Night(s) at the same Participating Property, regardless of the number of check-ins or check-outs that occur during that stay.
h. “Silver” “Gold” or “Black” “Status” means an individual member’s status in Revarew with different and/or additional Program Benefits according to status, as determined by GH or Participating Property.
i. “Participating Property/ies” means certain hotels and properties operating under GH; including Spas, Health Clubs or other brands or concepts that may be added by GH that provide Benefits to Revarew members from time to time. Participating Properties and the Program benefits provided by each Participating Property are subject to change at any time without notice.
j. “Benefits” means any services or facilities offered to Revarew Members as part of their Revarew membership by GH, its Participating Properties and Partners.
k. “Partners” means third parties and their service providers that provide Benefits to Revarew Members from time to time. Partners and the Program Benefits provided by each Partner are subject to change at any time without notice. Nothing in the Program Terms is intended to or shall create or establish any agency, partnership or joint venture relationship between us and our Partners.
l. “Room Charges” means the Great British Pound (GBP) amount of the Eligible Rate paid during an Eligible Stay. Room charges do not include tax, incidental or third party charges incurred and charged to the room, such as charges for telephone or other communications services, laundry, pay-per-view movies, entertainment, recreational facilities, restaurants, banquets, catering or gift shops.
2. MEMBERSHIP
i. Eligibility: Application for Membership in Revarew is open to individual persons who are of majority age in their place of residence. Revarew Members must provide and maintain an operational email address and an up-to-date physical address, including city, postcode, state or province, and country of residence. An individual may maintain only one Revarew Membership and may only earn Points through one Program at any Participating Property, not multiple Programs. Membership and participation in Revarew is void where prohibited by applicable law, rule or regulation. In the event that any authority or court of law anywhere in the world deems that Revarew is unlawful in any jurisdiction, the Program will be immediately withdrawn without liability to you.
ii. Enrolment: You may apply for membership in Revarew online at www.revarew.com. Should you have any questions, please speak to us using the telephone details below. We may, in our sole discretion and without any liability to you, accept or decline your application for membership in Revarew. If we accept your application for membership, we will establish a Revarew account in your name. If you apply for membership at a Participating Property during an Eligible Stay and your application is accepted, you will receive your Revarew Membership Card and credentials by post or upon your next stay.
iii. Membership Obligations: As a Revarew Member, you agree to comply with these Program Terms, the applicable terms and conditions of our Partners, and all applicable laws, rules and regulations. You agree that your participation in Revarew is entirely at your own risk. You agree that if you object to any of these Program Terms, or any modifications thereof, or otherwise become dissatisfied with Revarew, your only recourse is to terminate your membership. You agree that you are responsible for restricting access to and maintaining the confidentiality of your Revarew membership number, account, password and membership card. You also agree to promptly notify us if your Revarew membership card or membership number is lost or stolen, or if you believe your password has been stolen or compromised. You agree that you will provide accurate and up-to-date information to us at all times and to promptly amend online or notify us of any change in your information. You understand that the receipt of benefits as a Revarew Member may be subject to tax liability, and agree that any tax liability, including disclosure, with respect to your membership in Revarew is solely your responsibility.
iv. Expiration of Points and Termination of Membership:
 
a) Expiration of Points: Points do not expire and will be carried forward on a rolling basis and/or until redeemed. If there is no Points activity in your Revarew account for any 24-month period, we may, at any time and in our sole discretion and without notice or liability to you, void and cancel any or all of your Points.
b) Termination of Your Membership in Revarew by You: You may terminate your membership in Revarew at any time by contacting us.
c) Other Modifications to and Termination of Your Membership In Revarew By Us: In addition to the above, we may, at any time in our sole discretion and without notice or any liability to you, (i) modify, suspend or terminate your membership in Revarew; (ii) modify, suspend or terminate your Gold or Black Status; (iii) modify, suspend, void or cancel all or a portion of your Points; (iv) modify, suspend, void or cancel your redemption of Points. We may take these actions for the convenience of Revarew, or if there are reasonable grounds for suspecting, in our sole discretion, that (i) you have violated or are using the Program in a manner inconsistent with these Program Terms or the intent of the Program or any portion of the Program; (ii) you have misused or abused Revarew; (iii) your account activity or membership status involves or results from fraud, dishonesty, theft, or other illegal or improper means; (iv) you knowingly attempt to obtain or maintain more than one (Revarew and/or booker’s Executive Club account); (v) your membership or participation in Revarew violates any applicable laws, terms or regulations; (vi) our provision of Benefits under Revarew violates any applicable laws, terms or regulations; or (vii) you fail to pay any amounts due to or engage in abusive, inappropriate, offensive, or hostile conduct or communication in connection with Revarew, Participating Properties, GH or our Partners, or their respective officers, directors, agents, employees, representatives or guests. These rights are in addition to any other remedy which may be available to us under applicable law and we have the right to take appropriate administrative and/or legal action, including, without limitation, criminal or civil prosecution, we deem necessary in our sole discretion.
d) Effect of Termination: If your membership in Revarew is terminated for any reason, your Revarew account will be closed and all Points in your Revarew account will be cancelled, forfeited, void and no longer available for redemption. If we modify, suspend, void or cancel any or all of your Points, such Points will be removed from your Revarew account and will no longer be available for redemption.
3. POINTS
A. Earning Points:
 
i. At Participating Properties: Revarew Members may earn 25 Points for every one Eligible night booked and 20 points for every £50 spent on Eligible Food and Beverages and Spas at Participating Properties. You must provide your Revarew Member Number and/or Revarew Card when the reservation is made, at check-in or upon departure. Points cannot be added to your Revarew Program once you have checked out from the Property.
ii. Combining Eligible F&B and Spa Points: As a hotel guest, you may combine the total value of Eligible Food and Beverage & Spa treatments during your stay. You must charge all transactions to your room account and settle your total invoice upon departure so that the combined points may be awarded to your Revarew Account.
iii. Paying as you go: If you choose to settle Eligible Food and Beverage or Spa charges as you go, you will need to spend in multiples of £50 in order to generate points I.E. A spend of £49.50 does not generate Points; a spend of £50.50 will generate 20 Points; a spend of £99.50 will generate 20 Points. Eligible F&B and Spa charges settled in this manner between Spas and Food & Beverage cannot be combined.
iv. Revarew Members not staying: Revarew Members not staying at a Participating Property but utilising the Property’s services and/or facilities to earn eligible points may accumulate points as in 3.iii above.
v. Points may be earned by only one Revarew Member per Eligible Stay, and that member must appear on the reservation and be the registered guest. Points may be earned on up to three rooms booked under the same reservation, but credit for multiple rooms must be requested at or before the time of check-in or prior to checkout and the member must appear on the reservation for at least one of the booked rooms and be a registered guest for the duration of the Eligible Stay. Points may not be earned for any other reservations that do not include the Revarew Member’s name on the reservation and for which the Member is not the registered guest.
vi. Points are considered earned once the stay has been completed, all charges have been fully paid, and the Points have been added to your account. Points are not available for redemption before an Eligible Stay has been completed, fully paid and added to your account.
vii. Disclosure and Consent: You are responsible for disclosing to and receiving consent from your employer, principal and/or client that you will earn Points and other incentives received from Revarew and must comply with any applicable gift and incentive policies.
B. Redeeming Points:
 
i. Generally: Revarew Members may redeem Points at Participating Properties or through our Partners. Points may be redeemed for the benefit of the Revarew Member or for another individual as a gift. Except for transfers of Points expressly allowed in these Program Terms or with GH’s written consent, Points may not otherwise be sold, exchanged, bartered, brokered, transferred, purchased, auctioned or given away. Redemption options are subject to change from time to time without notice in our sole discretion.
ii. When redeeming Points, you will be required to verify your Revarew Account information. The corresponding number of Points will be subtracted from your Revarew Account at the time the transaction is initiated, and there must be a sufficient number of Points in your Revarew Account at that time of the transaction. Points in two or more different accounts may not be combined for redemption. Redemption transactions may be approved or revoked in the sole discretion of GH.
iii. Cancelling Award Nights: Award nights may be cancelled 24hrs prior to the date of arrival without incurring a cancellation charge. All Award Nights cancelled within 24hrs will result in the appropriate points being deducted from your Revarew Account. All Award Nights will be charged and this also includes Award Nights when a member may depart earlier than anticipated.
iv. Award Nights: Revarew Members may redeem Points for Award Nights at Participating Properties, subject to availability. Award Night reservations must be made in advance, and must be made through your Revarew online account. Award Nights may not be combined with other certificates, discounts, packages or promotional offers and are not commissionable, including without limitation commissions to travel agents. Award Nights apply to a standard room with single or double occupancy. Bedroom upgrades, and/or additional occupants are subject to the Participating Property’s standard extra person charges. Award Nights are subject to each Participating Property’s cancellation, guarantee and deposit policies. Points equal to one night of an Award Night reservation will be deducted from your Revarew Account if your reservation is not cancelled in accordance with the Participating Property’s cancellation policy. Any incidental charges in connection with an Award Night are the sole responsibility of the Member.
v. If a hotel ceases to be a Participating Property after an Award Night reservation is made, but before the actual stay, GH will use reasonable efforts to ensure that the hotel honours the Award Night reservation, but GH cannot and does not guarantee that any such Award Night reservation will be honoured. In addition, at the discretion of GH, Award Nights may not be available for reservations at a hotel once it is determined that such hotel will be leaving the Revarew Program or otherwise will cease to be a hotel in the Revarew Program regardless of the length of time before such hotel actually leaves the Program.
vi. Food & Beverage and/or Spas: Revarew Members may redeem Points in Food and Beverage and/or the relevant Spas. Eligible Food & Beverage and Spas must be booked online through your Revarew Account. At the time of booking, you must confirm a suitable date and time for redemption. Your date and time will be considered as confirmed at the time of booking, unless otherwise notified to you by Revarew and/or GH, its affiliates, subsidiaries and related companies.
vii. Cancelling Eligible Food & Beverage or Spas: Eligible Food & Beverage and Spas may be cancelled 24hrs prior to arrival without incurring a cancellation charge or are subject to each Participating Property’s own cancellation, guarantee and deposit policies. All eligible Food and Beverage and Spas cancelled within 24hrs will result in the appropriate points being deducted from your Revarew account.
viii. Through Partners: Revarew Members may redeem Points with our Partners. Redemption opportunities and requirements with each Partner vary, are not available where prohibited by law, are subject to change at any time, are governed by these Program Terms, and are subject to additional terms and conditions as required by an individual Partner. Partners are independent entities and we are not responsible for the nature or quality of products or services provided by any Partners, nor for any solicitation or marketing efforts by any Partners. You are responsible for directly checking and complying with a Partners’ terms, conditions, and privacy and usage policies. We are not responsible for and assume no liability for the terms, changes or discontinuances of Partners’ terms, conditions, privacy and usage policies, products or services.
ix. Donating Points: Revarew Members may donate Points to certain non-profit organisations, as determined by us in advance from time to time in our sole discretion. Any other donation, transfer or gift of Points is prohibited and will not be honoured. Donated Points are not tax deductible.
C. Revarew Tier/Status Structure:Members may qualify for upgraded membership/tiers in the Revarew Program. Tiers are named as Silver, Gold and Black.
Silver: open to all members joining Revarew in accordance with Revarew’s terms and conditions
Gold: open to all members staying 40 or more eligible nights.
Black: open to all members staying 100 or more eligible nights.
Once qualified for Gold or Black Status, you will maintain that status indefinitely or unless your membership is revoked as outlined in clauses 2. c and d.
4. MISCELLANEOUS:
i. Online Account: Once you are enrolled in Revarew, GH will endeavour to credit your account with Points on a timely basis. This may be up to 14 days following departure. You are responsible for verifying that Points are properly credited to your Revarew account. Any claim for Points not properly credited must be received by GH with supporting documentation within three (3) months of the date of the claimed accrual of such Points. Points cannot be credited for a previous financial year.
ii. Transfers: Except as expressly allowed in these Program Terms or with GH’s written consent Revarew Membership, Points, Award Nights, Gold or Black Status and other Program Benefits may not be sold, exchanged, bartered, brokered, transferred, purchased, auctioned or given away, including without limitation as part of a domestic relations matter, divorce, inheritance, or otherwise by operation of law.
 
a) Transfers within a Household: Revarew members may transfer Points to another Revarew Member who resides in the same household, provided both individuals have been Revarew members for at least one year and the addresses for both accounts involved in the transfer have not been updated within ninety (90) days prior to the transfer request. GH reserves the right to require proof of eligibility or residency and, in its sole discretion, deny any request to transfer Points.
b) Transfers upon Death: Points belonging to a Revarew member who is deceased may be transferred to the Revarew account of the deceased member’s beneficiary(ies) in our sole discretion. The deceased member’s membership in Revarew must have been in good standing at the time of death. The transfer request must include documentation showing proof of death, such as a death certificate, and proof of authority to make the request, such as court documents or the deceased’s will. Requests must be made within one (1) year of the date of death or prior to financial year end whichever is sooner, or the deceased member’s account will be closed and all Points forfeited.
iii. No Cash Value: Except where required by law, Points have no cash value and do not constitute member property. Accumulation of Points does not entitle members to any vested rights with respect to any awards or the Program. As a Revarew Member, the only right you acquire in Points is the opportunity to surrender them for redemption in accordance with these Program Terms.
5. REVAREW FOR BUSINESS:
i. Company Program Enrolment: Companies may apply for membership in Revarew for Business by contacting their Account Manager in the first instance at a Participating Property. We may, in our sole discretion and without any liability to you, accept or decline your application for membership in Revarew for Business. If we accept your application for membership in Revarew for Business, we will provide you with a Revarew for Business member number, a Corporate Account ID, and a link to a private booking webpage to use for reservations. No individual/employee in the company may apply for individual membership to Revarew if the Company chooses to join Revarew for Business. All points earned would be added to the company account.
ii. Account Administrator: You must appoint one authorized representative who is 18 years of age or older to act as the account administrator on behalf of the Company. The Account Administrator is the primary contact for the Company, and is responsible for maintaining accurate records and controls over the company’s participation in Revarew for Business. The Account Administrator is responsible for ensuring that participation in the Program complies with the applicable policies and practices of the Company. You must notify us of any changes to the Account Administrator. We may require from time to time evidence that the Account Administrator is qualified and has been duly appointed and authorized by the Company. All actions of a Revarew for Business Member’s directors, employees, and agents will be deemed to be an action of the Member Company.
iii. Earning Points: Revarew for Business members may earn 25 Points for every one night booked and 20 points for every £50 spent on Eligible Food and Beverages and relevant Spas at Participating Properties. You must provide your Revarew for Business Member Number when the reservation is made, at check-in or upon departure. Points cannot be added to your Revarew Account once you have departed the Property. If requested, you must produce a valid company ID to earn and/or redeem points in Revarew for Business.
iv. Points are considered earned once the stay has been completed, all charges have been fully paid, and the Points have been added to your Account. Points are not available for redemption before an Eligible Stay has been completed, fully paid and added to your account. All other Program Terms apply.
v. Redeeming Points: Revarew for Business Members may only redeem Points through the account administrator. The account administrator may redeem Points on behalf of any individual authorized by the Revarew for Business member. When redeeming Points, Companies must ensure they comply with the Bribery Acts 2010 and 2012. Companies will indemnify GH for all and any liability arising under this legislation.
vi. Cancelling Award Nights: Award Nights may be cancelled 24hrs prior to the date of arrival without incurring a cancellation charge. All Award Nights cancelled within 24hrs will result in the appropriate points being deducted from your account. All Award Nights will be charged and this also includes Award Nights when a member may depart earlier than anticipated.
vii. Cancelling Eligible Food & Beverage or Spas: Eligible Food & Beverage and Spas may be cancelled 24hrs prior to arrival without incurring a cancellation charge. All eligible Food and Beverage and Spas cancelled within 24hrs will result in the appropriate points being deducted from your Revarew account.
viii. At Participating Properties: Revarew for Business Members may redeem Points for Award Nights at Participating Properties, subject to availability. All other Program Terms apply.
ix. Through Partners: Revarew for Business Members may redeem Points with our Partners where applicable. All other Program Terms apply.
x. Revarew for Business Tier/Status Structure: Companies who register with Revarew for Business will not qualify for upgraded membership/tiers in the Revarew Program. Membership in Revarew for Business will be considered as Silver Tier for the duration of your membership.
6. GENERAL:
i. Privacy Policy: By participating in the Program, you consent to our collecting personal and business information from or regarding you. We may also use and share your personal information in the ways described below. IF YOU DO NOT AGREE TO THESE TERMS, you must elect not to join and/or to withdraw from the Program. Additional personal and business information that we collect includes information that you provide when you enrol in the Program or when you manage your personal and business profile. During enrolment, we require that you provide your name, physical address including city, state or province, and country of residence, mobile telephone number and e-mail address. When you manage your profile, you have the opportunity to provide additional information. In order to administer the Program, your personal and business information may be shared with our Partners, franchisees, fulfilment houses, email service providers and mail houses and marketing companies providing services to such entities to further the purposes of the Program for their use pursuant to their privacy policies and practices. By enrolling and remaining a Member, you also consent to the transfer of your information to countries we and our and Partners’ maintain information processing facilities, business operations and hotels, including the United States and other countries where data protection laws may differ from those of your home country. To ensure that your personal and business information is consistent, accurate and up-to-date, we may also share your information with a third party for the purpose of updating and enhancing the quality and content of the information we maintain about you. As a Member, you may receive additional communications from us, including statements, third party news, member offers, newsletters and/or messages from our Partners. Members may also receive pre-arrival, reservation confirmation and post-stay e-mails from us. You may change your preferences in regard to the communications that you receive from us by logging onto your account online and managing your subscriptions. We may modify Program Terms from time to time. Your continued participation in the Program following the posting of changes will indicate your acceptance of the changes.
ii. Subject to Applicable Law: Membership and participation in Revarew, and the collection and redemption of Points, is subject to and may be void where prohibited or restricted by applicable local law, rule or regulation, or employer’s or customer’s policies or requirements.
iii. Currency Conversion to Great British Pounds (GSP): All amounts settled in a currency other than GBP will be converted to GBP at a conversion rate determined by us in our sole discretion.
iv. Disclaimer of Warranties and Limitation of Liability:
GH OFFERS REVAREW, THESE PROGRAM TERMS, AND ANY OTHER RELATED SERVICES AND PRODUCTS “AS-IS” AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXPRESSLY DISCLAIMS ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR OR ANY PURPOSE, DESIGN, ACCURACY, CAPABILITY, SUFFICIENCY, SUITABILITY, CAPACITY, COMPLETENESS OR AVAILABILITY. WITHOUT LIMITING THE FOREGOING, GH DOES NOT REPRESENT, WARRANT, OR GUARANTEE THAT REVAREW OR ANY OTHER RELATED SERVICES AND PRODUCTS WILL BE UNINTERRUPTED, WITHOUT OMISSIONS OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED OR CHANGES IMPLEMENTED. YOU AGREE THAT UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL GH, ITS OWNERS, AFFILIATES AND SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS HAVE ANY LIABILITY OR RESPONSIBILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES TO PERSONS, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING IN WHILE OR IN PART, DIRECTLY OR INDIRECTLY, FROM MEMBERSHIP OR PARTICIPATION IN REVAREW REWARDS OR USE OF AWARDS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore such exclusions may not apply to you. In the event that GH are held liable for any damages related to such matters, your sole and exclusive remedy will be limited to reimbursement for services or products paid by you.
v. Indemnification: You agree to indemnify, release and hold harmless GH, the Participating Properties, and our Partners, and any of their parents, subsidiaries and affiliates, and their respective directors, officers, employees and agents, from any liability, costs, damages and fees (including attorneys fees) arising out of any claims related to your membership in Revarew Rewards.
vi. Program Modifications or Termination: In addition to any other nights already referred to, GH reserves the right at any time, in our sole discretion, with or without notice and without any further liability or obligation, even though changes may affect the value of Points already accumulated, to (i) add, modify, delete, change, suspend or terminate (“Change”) Revarew, in whole or in part; including without limitation any of the rules, procedures, conditions, benefits, awards, award levels, Participating Properties, Partner affiliations and opportunities, earning terms, redemption rules, or award availability (ii) Change these Program Terms, in whole or in part; (iii) Change any Revarew offers; (iv) Change the ability to redeem Points in whole or in part; (v) Change the procedures for redeeming Points, including the number of Points required for redemption; (vi) Change the ability to accrue Points, including but not limited to imposing time limits and changes in Point values, in whole or in part; or (vii) assign in whole or in part Revarew to any related or unrelated entity. Upon assignment, the performance of the obligations herein will thereafter be the sole and direct responsibility of that entity. In the event of the termination of Revarew, all Points not redeemed by the termination date of Revarew Rewards will be forfeited without compensation or any further obligation or liability, and no redemption of Points will be honoured thereafter. In accumulating Points and otherwise participating in the Program, you may not rely upon the continued availability of Revarew, or any earning, redemption, or other offers made in connection with Revarew. All offers are available while supplies last, subject to any applicable cancellation policies, and are subject to change and/or revocation without notice. Program account information is our proprietary information and may be accessed by members only for the purpose of obtaining information regarding their account. We reserve the right to audit or investigate Program accounts and information at any time without notice to ensure compliance with Program Terms. During the course of an audit or investigation, information may be shared with parties assisting in such audit or investigation.
vii. Governing Law and Interpretation: These terms & conditions are subject to English Law. And any dispute is subject to the exclusive jurisdiction of the Courts of England and Wales.
viii. Dispute Resolution:
YOU AND GH HEREBY WAIVE ANY RIGHT (I) TO A TRIAL BY A JURY, OR (II) TO PARTICIPATE IN A CLASS ACTION IN COURT OR IN CLASS-WIDE ARBITRATION, WHETHER AS A CLASS REPRESENTATIVE, CLASS MEMBER OR OTHERWISE. You also waive any and all rights to bring any claim or action related to such matters in any forum beyond one (1) years after the first occurrence of the kind of act, event, condition or omission upon which the claim or action is based. All interpretations of these Program Terms shall be at the sole discretion of GH. The English language version of these Program Terms governs even where the terms may have been translated into a language other than English.
ix. Force Majeure: Our failure to administer Revarew in accordance with these Program Terms because of and including (without limitation) terrorist activity or serious potential for terrorist activity whether within the proximity of the Property, misconduct of Property staff and/or guest, political action or disturbance, riot, natural disaster, fire, epidemic, bad weather, military activity, governmental or regulatory action, industrial dispute, act of God, war, failure of power or machinery or for any other reason beyond our reasonable control will not be deemed a breach of these Program Terms.
x. Entire Agreement/Waiver: These Program Terms and the other terms expressly referenced herein and linked hereto constitute the entire agreement between you and us regarding your participation in Revarew, your opportunity to earn and redeem Points through Revarew, and your entitlement to any other benefits of Revarew, and supersede all prior agreements between us, whether oral or written, including, without limitation, all previous versions of these Program Terms. If we fail to act with respect to your breach or anyone else's breach of these Program Terms on any occasion, we do not waive our right to act with respect to future or similar breaches.
xi. Severability: If any provision of these Program Terms is held by a court of competent jurisdiction to be void, invalid, contrary to law, or unenforceable for any reason, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Program Terms shall remain in full force and effect.
xii. Electronic Communications; Notices: When you interact with us over the Internet, you consent to the formation of contractual relations through electronic communications. You represent and warrant that you have the legal right, power and authority to agree to these Program Terms on behalf of yourself and the member or other entity on whose behalf you are acting while participating in the site if not acting only for yourself (e.g., a company administrator under Revarew for Business). You further agree that your use constitutes an electronic signature as defined by the Electronic Signatures in Global and National Commerce Act ("E-Sign") and the Uniform Electronic Transactions Act ("UETA") and that you have formed, executed, entered into, accepted the terms of, and otherwise authenticated these Program Terms and acknowledged and agreed that these Program Terms are an electronic record for purposes of E-Sign, UETA and the Uniform Computer Information Transactions Act (“UCITA”) and as such are completely valid, have legal effect, are enforceable, and are binding on, and non-refutable by you and the member, buyer, supplier or other entity on whose behalf you are acting. You are responsible for remaining knowledgeable as to Program Terms, newsletters, account statements, the privacy policy and your membership account status. We may attempt, but are not required, to notify you of matters of interest, including notification of Point forfeiture or Program changes. We are not liable for any failure to do so and are not responsible for incorrect or inaccurate transcription of your contact information, for problems related to any of the equipment or programming associated or utilized by you, for any human error, for any interruption, deletion, omission, defect or line failure of any electronic communications network or electronic transmission, for problems relating to computer, mobile or other equipment, software, inability to access any site or online service, for any other technical or non-technical error or malfunction, for lost, late, stolen, illegible, incomplete, garbled, misdirected, mutilate or postage-due mail, e-mail or other communication for whatever reason. You are responsible for creating and protecting private account access information and for maintaining the security of that information. We are not responsible for stolen or otherwise intercepted account access information. If the security of that information is breached, we are not liable for any access to that account, accumulation of Points, award redemptions or other account activity that occurs as a result, and in no event are we responsible for reimbursing any Points redeemed or other damages or losses claimed to occur as a result. If you become aware of any fraudulent or otherwise improper activity, you must report that activity to us immediately. You are responsible for advising us of any changes to your contact information.
xiii. Trademarks: REVAREW, Revarew, Revarew Rewards, GH, Spas, Health Clubs or other brands or concepts that may be added by GH and any other current and future trademarks and service marks associated with Revarew are service marks and trademarks of GH, or its affiliates or subsidiaries, and may not be reproduced or utilized in any way without the express, prior written consent of GH.
xiv. Administration: GH administrators and promoters of Revarew creates and launches marketing and promotional campaigns on behalf of GH, Participating Properties and Other Partners and manages the relationships between Revarew and its Partners. GH, its affiliates and subsidiaries may from time to time sell Points to third parties, including Participating Properties and Partners, and redeem Points for cash (including, without limitation, Points received from Participating Properties), airline tickets and other merchandise from our Partners.
xv. Assignability: You must not assign and rights under this agreement, GH may assign its rights under the agreement subject to providing you with written notice.
